ATHLETIC UNIVERSE BY KUROMATSU, LLC — TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the Athletic Universe mobile application, website, and related services (collectively, the “Services”), provided by Kuromatsu LLC, doing business as Athletic Universe (“Athletic Universe,” “AU,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. ELIGIBILITY & ACCOUNTS
1.1 Eligibility
The Services may be used by:
• Adults age 18 and older, and
• Minor Athletes whose accounts are created and supervised by a parent or legal guardian.
Parents/guardians are responsible for their minor’s use of the Services.
1.2 Account Registration
You agree to:
• Provide accurate and current information
• Maintain the confidentiality of your login credentials
• Notify us immediately of unauthorized access
We reserve the right to suspend, disable, or remove any account for policy violations, security risks, or misuse.
2. DESCRIPTION OF THE SERVICES
Athletic Universe provides tools for:
• Creating athlete profiles
• Uploading and managing photos, AI-generated avatars, and highlight video links
• Team and club management
• Communication between athletes, parents, coaches, and team staff
• Optional public and shareable athlete profile links
We may update, modify, or discontinue features at any time.
3. AI-GENERATED AVATARS & MEDIA PROCESSING
3.1 AI Features
AU offers features that use artificial intelligence to:
• Generate custom avatars from athlete images
• Transform images into different artistic styles
AI processing is provided through third-party services (e.g., OpenAI).
3.2 Your Responsibilities
By uploading or submitting content for AI processing, you confirm that:
• You have the right to use the uploaded image
• You have parental consent for images of minors
• The content is not harmful, illegal, or infringing
We may block or remove inappropriate content.
4. USER CONTENT & LICENSE
4.1 User Content
“User Content” includes photos, avatars, videos, bios, team information, and other materials you submit.
You retain ownership of your User Content.
4.2 License to AU
You grant AU a non-exclusive, worldwide, royalty-free license to:
• Host, store, display, reproduce, and modify User Content
• Enable Services such as team displays, rosters, and public profiles
This license ends when your content is deleted, except for archived backups.
4.3 Public Profiles
If enabled by you (or your parent/guardian):
• Certain profile elements may become publicly visible
• Shared links may remain accessible even if settings change
You are responsible for managing public visibility.
4.4 Your Responsibility for Content
You are responsible for ensuring your content:
• Is accurate
• Complies with law
• Does not infringe third-party rights
• Has appropriate consent (especially for minors)
We may remove content that violates policies or law.
5. ACCEPTABLE USE
You agree not to use the Services to:
• Harass, exploit, or harm another person
• Engage in inappropriate communication with minors
• Upload illegal, harmful, or sexual content
• Infringe copyrights or privacy rights
• Access accounts without authorization
• Introduce malware or disrupt the Services
• Data mine, scrape, or mass-export content without permission
• Circumvent access controls or security measures
Violations may result in account termination.
6. PAYMENTS & SUBSCRIPTIONS
6.1 Payment Processing
Paid features are processed through Stripe. AU does not store complete payment card information.
6.2 Billing
If you subscribe to paid Services:
• You authorize recurring charges unless cancelled
• You are responsible for maintaining current billing info
Cancellation terms will be displayed during checkout.
7. THIRD-PARTY SERVICES
The Services interact with:
• Supabase (database, storage, edge functions)
• Firebase Authentication
• Google / Apple login
• Stripe (payments)
• Google Analytics
• OpenAI (AI avatar generation)
• YouTube, Vimeo, Hudl (video links only)
Your use of these tools may be subject to their own terms and policies.
8. PRIVACY
Your use of the Services is governed by our Privacy Policy, which explains how we collect and use your information, including for minor athletes and AI processing.

9. INTELLECTUAL PROPERTY
Except for User Content, all content and software associated with AU is protected by intellectual property laws.
You may not:
• Copy, modify, or distribute the Services
• Reverse engineer or attempt to extract source code
• Use AU branding without permission
10. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
We disclaim all warranties to the fullest extent permitted by law, including:
• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or availability
We do not guarantee continuous, uninterrupted, or error-free service.
11. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
• AU and Kuromatsu LLC are not liable for indirect, incidental, consequential, or punitive damages
• Our total liability will not exceed the amount you paid us in the prior 12 months or $100, whichever is greater
Some jurisdictions do not allow certain limitations, so these may not apply to every user.
12. INDEMNIFICATION
You agree to indemnify and hold harmless AU and Kuromatsu LLC, including their officers and employees, from any claims arising from:
• Your use of the Services
• Your User Content
• Your violation of these Terms
• Your violation of any applicable law
13. TERMINATION
We may suspend or terminate access to the Services for:
• Violations of these Terms
• Security risks
• Suspected misconduct
• Legal or regulatory obligations
Upon termination, sections on content licensing, liability, indemnity, and dispute resolution remain in effect.
14. GOVERNING LAW & DISPUTES
These Terms are governed by the laws of Texas.
You agree that disputes will be resolved exclusively in the state or federal courts of Dallas County, Texas.
15. CHANGES TO THESE TERMS
We may update these Terms at any time. Material changes may be communicated via email or in-app notices.
Continued use after updates indicates your acceptance.

17. COACH & TEAM ADMINISTRATOR CONDUCT POLICY
Coaches, club directors, and team administrators (“Coaches”) accessing minor athlete information through the Services must comply with the following standards.
17.1 Compliance with Laws
Coaches must comply with all applicable youth protection, privacy, and safety laws, including:
• Mandatory child protection reporting requirements
• SafeSport or similar league-governing body rules
• Anti-bullying and anti-discrimination laws
Coaches are solely responsible for meeting these obligations.
17.2 Professional Behavior Toward Athletes
Coaches must:
• Treat all athletes with respect and professionalism
• Maintain appropriate adult–minor boundaries
• Avoid harassment, intimidation, or discriminatory conduct
Prohibited behavior includes:
• Sexual or suggestive communication
• Favoritism or grooming behavior
• Private one-on-one interactions without appropriate parental awareness
• Derogatory or threatening language
17.3 Appropriate Use of Athlete Data
Coaches may access athlete information only for legitimate team-related purposes, such as:
• Roster management
• Team communication
• Athlete development or feedback
Coaches may not:
• Download or store athlete data for personal use
• Share athlete photos or profiles without parent consent
• Export athlete data for recruiting, commercial, or promotional purposes
• Remove athlete images or videos outside the AU platform
17.4 Communication Standards
Coaches must ensure communication with Minor Athletes:
• Is professional and sports-related
• Occurs through appropriate channels
• Includes parent/guardian visibility when required
Coaches may not:
• Send private, personal, or inappropriate messages to minors
• Communicate outside reasonable hours except for emergencies
17.5 Content Upload Responsibilities
Coaches agree not to upload or distribute:
• Inappropriate, harmful, or misleading media
• Content involving minors without proper consent
• Copyright-infringing materials
17.6 Reporting Obligations
Coaches must promptly report:
• Suspected abuse, grooming, or exploitation
• Criminal activity or serious safety risks
• Misconduct by another coach or adult
Reports to AU may be sent to: support@athleticuniverse.com.
Legal reporting obligations must also be followed.
17.7 Enforcement
Violations of this Coach Conduct Policy may result in:
• Account suspension or termination
• Notification to associated clubs or leagues
• Reporting to law enforcement or youth safety authorities
AU reserves the right to remove any Coach or organization that violates these standards.
